1. General Provisions
1.1. These Terms of Service (hereinafter — "Terms") govern the relationship between LIMITED LIABILITY COMPANY "SYSTEMIK" (hereinafter — "Provider") and an individual or legal entity (hereinafter — "User") using the Systemic CRM cloud service (hereinafter — "Service"), available at https://app.systemic-crm.com.
1.2. By registering for the Service, the User fully and unconditionally accepts these Terms.
1.3. The Provider reserves the right to amend the Terms by notifying the User at least 14 days before the changes take effect, via email or an in-app notification.
2. Description of the Service
2.1. Systemic CRM is a cloud-based customer, appointment, finance, and staff management system for small and medium-sized businesses.
2.2. The Service is provided on a SaaS (Software as a Service) subscription basis.
2.3. The Provider continuously improves the Service and reserves the right to add, modify, or remove functionality without prior notice, provided such changes do not materially affect the core features of the User's paid plan.
3. Registration and Account
3.1. To use the Service, the User must create an account by providing a valid email address and business name.
3.2. The User is responsible for maintaining the confidentiality of their password and for all actions performed under their account.
3.3. The User must immediately notify the Provider of any unauthorized access to their account.
3.4. One account corresponds to one business (tenant). Creating multiple free accounts to circumvent plan limitations is prohibited.
4. Pricing Plans and Payment
4.1. The Service offers the following plans: Trial (7 days free), Start, Business, and Pro. Current pricing and feature lists are available on the pricing page within the Service.
4.2. Payments are processed monthly via the LiqPay payment system. Subscriptions renew automatically each month.
4.3. The User may cancel their subscription at any time. Access to the paid plan remains active until the end of the current billing period.
4.4. Systemic CRM is a digital service (SaaS) with immediate access upon payment. In accordance with applicable consumer protection laws, refunds for paid subscription periods are not available. Full details are provided on the Refund & Exchange page.
4.5. The Provider may change prices by giving the User at least 30 days' notice. New prices take effect from the next billing period.
5. User Rights and Obligations
5.1. The User has the right to:
- use the Service in accordance with their paid plan;
- export their data at any time;
- delete their account and all associated data.
5.2. The User agrees to:
- not use the Service for illegal activities;
- not attempt to gain unauthorized access to other users' data;
- not overload the Service with automated requests (scraping, DDoS);
- not share account access with third parties without the Provider's consent.
6. Provider Rights and Obligations
6.1. The Provider undertakes to:
- maintain Service availability of at least 99% per month (excluding scheduled maintenance);
- maintain the confidentiality of User data;
- provide at least 24 hours' notice of scheduled maintenance.
6.2. The Provider reserves the right to:
- suspend User access in the event of a breach of these Terms;
- suspend access in the event of non-payment after the paid period expires;
- delete data of inactive free accounts 90 days after the trial period ends.
7. Limitation of Liability
7.1. The Service is provided "as is." The Provider does not guarantee that the Service will operate without interruption or error.
7.2. The Provider's maximum liability is limited to the amount paid by the User for the last 3 months of Service usage.
7.3. The Provider is not liable for:
- data loss resulting from User actions;
- outages caused by third parties (hosting provider, payment system, internet service provider);
- indirect damages or lost profits.
8. Intellectual Property
8.1. All rights to the Service, its code, design, and trademarks belong to the Provider.
8.2. Data uploaded by the User remains the property of the User.
8.3. The Provider does not use User data for AI model training, analytics, or sale to third parties.
9. Termination
9.1. The User may stop using the Service at any time by deleting their account in the settings.
9.2. The Provider may terminate the User's access to the Service in the event of:
- systematic breach of these Terms;
- non-payment for 30 days after the paid period expires;
- use of the Service for illegal activities.
9.3. Upon account deletion, all User data is removed within 30 days.
10. Dispute Resolution
10.1. All disputes shall be resolved through negotiation. If an agreement cannot be reached, disputes shall be settled in accordance with the applicable laws of Ukraine.
10.2. These Terms are governed by the laws of Ukraine.
